The Buy-Sell Report (“BSR,” “the Service,” “we,” “our,” or “us”) is an online data intelligence subscription service operated at thebuysellreport.com. BSR is a product of Vetora (vetora.io), which is owned and operated by the Jacobs Family Irrevocable Trust, a private Express Trust Organization sitused in York County, Pennsylvania.
BSR tracks franchise new car dealership ownership changes across the United States, including buy/sell transactions, dealership closures, and new dealership openings. The Service provides subscribers with a searchable, filterable database of these events and periodic email summaries.
BSR is designed for automotive industry professionals, including vendors, investors, and other parties who need timely awareness of changes in the franchise dealership landscape. The Service does not participate in, facilitate, or broker any dealership transaction.
BSR operates in honor and in good faith, and we expect every subscriber to do the same. By accessing or using BSR, you agree to conduct yourself with honesty, integrity, and good faith in all interactions with the Service, including but not limited to the information you provide and your use of the data we deliver. Any conduct that violates this principle may result in the suspension or termination of your account.
You must be at least eighteen (18) years of age to use BSR. By creating an account, you represent and warrant that you are at least eighteen years old, are a resident of the United States, and have the legal capacity to enter into these Terms and Conditions.
BSR is currently available to users located in the United States only. Access from outside the United States is not authorized at this time.
To access BSR data, you must create a subscriber account by providing your name, email address, and payment information. Each subscriber account is individual and may not be shared with any other person or entity. You are responsible for maintaining the accuracy of your account information and the confidentiality of your login credentials.
You agree that all information you provide to BSR is accurate, current, and complete. Providing false, misleading, or fraudulent information is grounds for immediate account termination.
Subscriber accounts are for individual use only. Sharing of login credentials, account access, or BSR data with unauthorized persons is strictly prohibited and constitutes grounds for immediate termination without refund.
BSR offers two subscription tiers:
Subscription fees are charged at the time of purchase. Monthly subscriptions automatically renew each month. Annual subscriptions automatically renew each year. All amounts are in United States Dollars.
BSR reserves the right to change subscription pricing at any time. Any price change will take effect at the start of your next billing cycle following reasonable notice. Existing subscribers will be notified of price changes via email at least thirty (30) days in advance.
All payments are processed through Stripe, a third-party payment processor. BSR does not collect, store, or have access to your credit or debit card numbers. By making a payment, you agree to Stripe’s terms of service in addition to these Terms and Conditions.
All subscription payments are final and non-refundable. By purchasing a subscription, you acknowledge that you are purchasing immediate access to a data service and that all sales are final. No refunds shall be issued for any reason, including but not limited to dissatisfaction with the data, failure to use the service, or change of mind.
Monthly subscribers may cancel their subscription at any time through the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. No pro-rata refunds shall be issued for any unused portion of the current monthly period. Upon cancellation, your access continues until the end of the paid period, after which your account will be deactivated.
Annual subscribers may cancel their subscription at any time through the Stripe Customer Portal. However, annual subscribers are responsible for a minimum commitment equal to one (1) month of service at the monthly subscription rate of Twenty Dollars ($20.00). If an annual subscriber cancels within the first thirty (30) days of their subscription, the remaining balance of Two Hundred Twenty Dollars ($220.00) shall be refunded. If an annual subscriber cancels after the first thirty (30) days, no refund shall be issued. Upon cancellation, your access continues until the end of the current annual period.
BSR does not offer free trials. The subscription fee provides immediate access to the Service.
BSR tracks three types of events involving franchise new car dealerships in the United States:
BSR covers franchise new car dealerships only. Independent used car dealers, motorcycle dealers, heavy truck dealers, recreational vehicle dealers, and equipment dealers are not within the scope of BSR.
Subscribers access BSR data through a secure, login-protected website at thebuysellreport.com. The website provides searchable and filterable event data. Monthly subscribers have access to events within a rolling thirty (30) day window. Annual subscribers have access to the full historical archive.
BSR may provide periodic email summaries of recent events to subscribers. The frequency, format, and content of email summaries are at BSR’s sole discretion and may change from time to time.
BSR uses commercially reasonable efforts to identify and report franchise dealership ownership changes. However, BSR does not guarantee that every transaction, closure, or opening will be captured or reported. Some events may be delayed, incomplete, or not reported at all. The absence of a record in BSR does not mean that an event did not occur.
BSR aggregates information from multiple verified sources and cross-references records for accuracy. BSR’s specific data sourcing methods and source identities are proprietary and confidential.
BSR data is provided for informational purposes only and does not constitute investment advice, business advice, legal advice, or a recommendation to buy, sell, or engage in any transaction. You are solely responsible for any decisions you make based on BSR data.
BSR may correct, update, or remove records at any time as new information becomes available. BSR is not obligated to notify subscribers of individual corrections.
By accessing or using BSR, you acknowledge and agree to the following restrictions, which are essential to the protection of BSR’s proprietary interests and the integrity of the Service:
You shall not reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data collection methods, data structures, or underlying technology of BSR or any part thereof.
You shall not use any automated means, including but not limited to bots, scrapers, crawlers, or spiders, to access, extract, harvest, or collect data from BSR. You shall not compile, aggregate, or mine BSR data for the purpose of building, assisting, or contributing to any product, service, or database that competes with or is substantially similar to BSR.
All information obtained through BSR, including but not limited to event data, dealership records, data sourcing methodologies, and Service analytics, is confidential and proprietary to the Jacobs Family Irrevocable Trust. You shall not use any such information for any purpose other than your direct and personal use of the Service as intended. You shall not share, sell, license, distribute, republish, or otherwise disclose BSR data to any third party.
You may not redistribute, republish, or share BSR data in any format, including but not limited to forwarding email summaries, sharing screenshots, exporting data for distribution, or incorporating BSR data into your own products, reports, or services for distribution to others. BSR subscriptions are for individual internal use only.
You acknowledge that BSR’s data sourcing methods, data processing pipelines, verification systems, and the proprietary processes by which the Service operates constitute trade secrets and confidential business information of the Jacobs Family Irrevocable Trust. You agree not to disclose, copy, or use any such trade secrets for any purpose other than your authorized use of the Service.
You acknowledge that any violation of this Section 9 may cause irreparable harm to the Jacobs Family Irrevocable Trust for which monetary damages would be inadequate. In addition to any other remedies available at law or in equity, the Trust shall be entitled to seek injunctive relief to enforce the provisions of this Section without the necessity of posting a bond.

BSR may suspend or terminate any subscriber account, at its sole discretion, for any of the following reasons:
Upon termination for policy violations, your access to BSR shall cease immediately. No refund shall be issued for any remaining subscription period. BSR reserves the right to pursue any available legal remedies.
BSR reserves the right to modify, suspend, or discontinue the Service, or any part thereof, at any time, with or without notice. BSR shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
The Service utilizes third-party services including, but not limited to, Stripe (payment processing) and SendGrid (email delivery). BSR is not responsible for the availability, performance, or policies of third-party service providers. Outages, errors, or changes by third-party providers are beyond BSR’s control and shall not constitute a breach of these Terms and Conditions.
The Buy-Sell Report name, logo, website design, software, code, databases, compiled data, and all proprietary content are the exclusive property of the Jacobs Family Irrevocable Trust. You may not copy, reproduce, distribute, modify, create derivative works from, or reverse-engineer any part of BSR without prior written consent of the Trust. The common law trademarks “The Buy-Sell Report” and “BSR” are claimed and reserved by the Jacobs Family Irrevocable Trust.
BSR is a data intelligence service that reports dealership ownership changes. BSR does not guarantee the accuracy, completeness, or timeliness of any data. BSR is not responsible for any decisions, actions, or outcomes based on BSR data. You use BSR data at your own risk.
To the fullest extent permitted by law, in no event shall the Jacobs Family Irrevocable Trust, its Trustee, Beneficiaries, agents, or representatives be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of BSR, regardless of the theory of liability.
The total liability of the Jacobs Family Irrevocable Trust, its Trustee, Beneficiaries, agents, and representatives, arising out of or related to these Terms and Conditions or your use of BSR, shall not exceed the total amount of fees paid by you to BSR in the twelve (12) months immediately preceding the event giving rise to the claim.
The property and funds of the Jacobs Family Irrevocable Trust only are liable under these Terms and Conditions. The individual Trustee, Beneficiaries, and their heirs, successors, and assigns are not personally liable for any obligations arising under these Terms and Conditions or from the operation of BSR. You agree not to seek any personal judgment or claim against any individual Trustee, Beneficiary, agent, or representative of the Trust.
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. BSR disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. BSR does not warrant that the Service will be uninterrupted, error-free, or secure. BSR does not warrant that the data provided will be accurate, complete, or current. BSR will use commercially reasonable efforts to maintain service availability but makes no guarantee of uptime or performance.
The Buy-Sell Report is an independent data intelligence service. BSR is not affiliated with, endorsed by, sponsored by, or associated with any dealership buy-sell advisory firm, brokerage, investment bank, financial institution, dealer group, dealership, automotive manufacturer, or any other entity referenced in BSR data. References to broker names, dealer group names, dealership names, or other third parties reflect publicly available transaction information and do not imply any business relationship, partnership, sponsorship, or endorsement. BSR does not facilitate, broker, advise on, or participate in dealership buy-sell transactions.
You agree to indemnify, defend, and hold harmless the Jacobs Family Irrevocable Trust, its Trustee, Beneficiaries, agents, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to: (a) your use of BSR; (b) your violation of these Terms and Conditions; (c) your violation of any law or regulation; (d) any decisions or actions you take based on BSR data; or (e) your redistribution or unauthorized use of BSR data.
Before initiating any formal dispute proceeding, you agree to first contact BSR in writing and attempt to resolve the dispute informally for a period of at least thirty (30) days.
Either party may bring an individual action in small claims court for disputes involving amounts of One Thousand Dollars ($1,000.00) or less, provided the claim falls within the jurisdiction of the applicable small claims or magisterial district court.
For all disputes exceeding One Thousand Dollars ($1,000.00) that are not resolved informally, you and BSR agree to submit to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in York County, Pennsylvania. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You and BSR agree that all disputes shall be resolved on an individual basis only. You waive any right to participate in a class action, class arbitration, or any other representative proceeding.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions.
Your use of BSR is also governed by our Privacy Policy, which is a separate document available on the Service. The Privacy Policy describes how we collect, use, store, and share your personal information. By using BSR, you consent to the collection and use of your information as described in the Privacy Policy.
BSR reserves the right to modify, amend, or update these Terms and Conditions at any time, at its sole discretion. Any changes will be posted on the Service with an updated “Last Updated” date. Your continued use of BSR after the posting of changes constitutes your acceptance of the modified Terms and Conditions. It is your responsibility to review these Terms and Conditions periodically. If you do not agree with any modification, your sole remedy is to discontinue use of the Service.
These Terms and Conditions, together with the Privacy Policy, constitute the entire agreement between you and the Jacobs Family Irrevocable Trust regarding your use of BSR and supersede all prior agreements, representations, and understandings.
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
The failure of BSR to enforce any provision of these Terms and Conditions shall not constitute a waiver of such provision or the right to enforce it at a later time.
You may not assign or transfer your rights or obligations under these Terms and Conditions without prior written consent of the Trust. The Trust may assign its rights and obligations under these Terms and Conditions without your consent.
